Terms & Conditions
By submitting your Application to this Program you agree to and accept the following Terms and Conditions.
GENERAL CONDITIONS:
To be considered for the Make Mine a Million $ Business Program Awards Package at a given Event, Applicants must submit a completed online application and the required supporting materials by 5:00pm EST on the deadline for that Event.
Count Me In assumes no responsibility for lost, stolen, late, incomplete, invalid, illegible or misdirected submissions or claims; for failed, partial or garbled computer transmissions; or for technical failures of any kind, including, but not limited to electronic malfunctioning of any network, hardware, or software or electronic or human error which may occur in the transmission of any information related to this Program or in the processing of Applications.
Count Me In reserves the right to disqualify any Application submitted incorrectly or that contains false information. Submissions that are untimely, undelivered, lost, late or misdirected will not be considered.
Each Company may only apply once per Event. Each Applicant may only be selected as an Award Recipient once. Persons associated with Count Me In or its sponsors, their affiliates, parents, subsidiaries, and their respective employees, officers, directors, shareholders, representatives, agents, and family members may not apply.
Applicants must be 18 years or older, be an owner of the Company and enter with its permission and on its behalf.
Judges will be selected by Count Me In and the decisions of the judges are final and binding in all respects.
This Program is subject to all applicable federal, state, and local laws and regulations. This Program is void where prohibited by law. Any and all federal, state, and local taxes fees and surcharges on Awards are the sole responsibility of the Award Recipient.
AGREEMENT TO RELEASE CREDIT HISTORY:
Count Me In has the right to investigate and verify Applicant eligibility and Application information, including but not limited to, information concerning its business and its principal owner from credit bureaus (Fair Isaacs, Experian, Dun and Bradstreet, etc) and others as Count Me In deems appropriate. Count Me In has the right to disqualify any Applicant on the basis of such investigation. Being selected as a Finalist or Program Award Recipient does not automatically qualify or entitle Applicant to financing. Similarly, OPEN from American Express is not obligated to offer a business credit line, credit card or any financial product to any Finalist or Program Award Recipient. Count Me In reserves the right to require additional information from the Applicant and/or the Company prior to making an award decision.
Count Me In reserves the right to disqualify any Applicant (or any of its officers, director or employees) that commits any act or does anything that is or shall be an offense involving moral turpitude under federal, state, or local laws, that commits an act involving fraud or financial impropriety or which association with such Application could bring Count Me In or its sponsors into public embarrassment, disrepute, contempt, scandal, or ridicule, or which association insults or offends the community or any substantial organized group thereof, or which might tend to injure the success of the Program, Count Me In, its sponsors or any of its sponsors’ products.
USE OF INFORMATION CONTAINED IN THE APPLICATION:
By submitting the Application, each Applicant agrees that Count Me In may release the Applicant’s name, business name, business telephone number and business location to a public relations firm for the purpose of promoting the Event.
By submitting an Application, each Applicant grants to Count Me In and its Sponsors (and agrees to confirm that grant in writing) and those acting pursuant to their authority, the right in perpetuity to print, publish, display, broadcast, and use, worldwide in any media now known or hereafter developed, including, but not limited to, the World Wide Web and the Internet, at any time(s), the Applicant’s name and certain Application Information, including trade names, trade marks and logos, and the name, portrait, picture, voice, likeness, and biographical information of the individual who entered on behalf of the Applicant as news, information and for Count Me In’s and its Sponsors’ trade, advertising and/or promotional purposes without additional compensation or review.
FAILURE TO APPEAR AT EVENT:
If a Finalist fails to appear at an Event for any reason, the Finalist forfeits all rights to any Awards described herein. If the Event is delayed, postponed, or canceled for any reason, Finalists will not be reimbursed for their transportation or accommodation expenses and will not receive their award. Count Me In and the Program Sponsors shall not be liable to Award Recipients or Finalists or any other person for failure to supply an Award or any part thereof, by reason of the Award becoming unavailable or impracticable to award, or due to any force majeure event, act of god, terrorist acts, war, natural disaster, technical or equipment failure, labor dispute, or act/omission of any kind (whether legal or illegal), transportation interruption, civil disturbance, or any other cause similar or dissimilar beyond Count Me In or Program Sponsors’ control.
Applicant hereby agrees not to instigate, support, maintain or authorize any action, claim or lawsuit against Count Me In, Program Sponsors, authorized partners of Program Sponsors, or any of their affiliates, or any other person, on the grounds that any use of the Application, or any derivative works infringe upon any of Applicant’s rights as creator of the Application, including, without limitation, trademark rights, rights in an idea, copyrights and moral rights or “droit moral.”
All Applications and any other material, including brochures, photographs, product samples and the like, submitted in conjunction with the Application shall become the property of Count Me In.
All elements of all Applications, including all United States and international copyrights and all other intellectual property rights in the Applications, shall be owned exclusively and jointly by Count Me In and its sponsors.
Nothing herein shall constitute a contract, employment, joint venture, or partnership relationship between Applicant and Count Me In or any of its Sponsors. In no way is Applicant to be construed as the agent or to be acting as the agent of Count Me In or its sponsors in any respect.
LIMITATIONS OF LIABILITY & RELEASE:
BY ENTERING THIS PROGRAM OR ACCEPTING ANY AWARD, EACH APPLICANT AGREES THAT COUNT ME IN, ITS PROGRAM SPONSORS, AND THEIR AUTHORIZED PARTNERS AND THEIR SUBSIDIARIES, AFFILIATES, ADVERTISING AND PROMOTION AGENCIES, AND ALL OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS, WILL HAVE NO LIABILITY WHATSOEVER FOR, AND WILL BE RELEASED AND HELD HARMLESS BY APPLICANT OR AWARD RECIPIENT FOR ANY CLAIMS, LIABILITIES, OR CAUSES OF ACTION OF ANY KIND OR NATURE FOR ANY INJURY, LOSS OR DAMAGES OF ANY KIND TO PERSONS OR ENTITIES, INCLUDING WITHOUT LIMITATION DISABILITY OR DEATH, AND PROPERTY, DUE IN WHOLE OR IN PART, ARISING DIRECTLY OR INDIRECTLY, FROM THE DELIVERY, MIS-DELIVERY, ACCEPTANCE, POSSESSION, INSTALLATION, SET-UP, USE OR MISUSE OF THE AWARD, OR PARTICIPATION IN THIS PROGRAM AND/OR ANY AWARD RELATED ACTIVITY.
DISPUTES:
Any dispute, controversy or claim arising out of or relating to this Program or these terms and conditions, or the breach thereof, shall be finally settled by arbitration administered by the Commercial Arbitration and Mediation Center for the Americas in accordance with its rules and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Any dispute shall be governed by New York law.
